1. Legal Notice & General Information
In compliance with the Spanish Law 34/2002, of July 11, on Information Society Services and Electronic Commerce (LSSI-CE), this document regulates the use of the website TeneDigital.com and the contractual relationship regarding the digital services provided. By accessing our site or contracting our services, you (the "Client" or "User") agree to be bound by these Terms & Conditions.
2. Scope of Services
TeneDigital specializes in high-performance digital platforms, web architecture, automation pipelines (via GoHighLevel), and Large Language Model Optimization (LLMO). The specific scope of work, including deliverables, deployment timelines, and features, will be outlined in a separate Statement of Work (SOW) or initial setup invoice.
3. Subscription Matrix & Financial Commitments
Our infrastructure operates on a dual financial structure:
- Initial Setup Investment: Non-refundable once architectural deployment and coding have commenced. This covers the custom front-end layout and structural data mapping.
- Recurring Monthly Infrastructure: A mandatory retainer covering server hosting, GoHighLevel CRM database access, API connections, and LLMO updates.
Payment Terms: Monthly retainers are billed automatically. Failure to process payment within 7 days of the due date will result in the temporary suspension of all web properties and automated routing profiles. TeneDigital reserves the right to securely delete data from our servers if an account remains in arrears for over 45 days.
4. Intellectual Property & Code Ownership
We believe in transparent asset ownership:
- Client Assets: Upon full payment, the Client retains exclusive ownership of all brand text, logos, custom photography, and final front-end media provided by the Client.
- TeneDigital Assets: TeneDigital retains full proprietary rights, copyrights, and intellectual property over the underlying structural code, proprietary themes, GoHighLevel automation pipeline configurations, and custom JSON-LD schema architectures engineered by our team. These elements are licensed to the Client for use solely during an active subscription.
5. Client Obligations
The successful deployment of TeneDigital infrastructure requires timely collaboration. The Client agrees to provide necessary access, text, images, and feedback within the agreed-upon timeframe. Delays caused by the Client failing to provide necessary materials may result in project pausing or extended timeline fees. Furthermore, the Client agrees not to use our infrastructure to host illegal, defamatory, or copyright-infringing material.
6. Disclaimers & Limitation of Liability
TeneDigital ensures that all platforms are built to elite security and performance standards. However, the digital landscape is inherently unpredictable. Therefore, we stipulate the following limitations of liability:
- Search Engine & AI Unpredictability: We hold no liability for sudden alterations in generative AI search algorithms (e.g., Google, OpenAI, Anthropic) or traditional search engine ranking drops. We do not guarantee specific traffic numbers or revenue increases.
- Third-Party Failures: We are not liable for business interruptions caused by third-party outages (including but not limited to AWS, GoHighLevel, DNS registrars, or payment gateways).
- Liability Cap: In no event shall TeneDigital’s total liability to the Client exceed the total amount paid by the Client to TeneDigital in the three (3) months preceding the event giving rise to the claim.
7. Data Protection (GDPR)
We strictly adhere to the General Data Protection Regulation (GDPR) (EU) 2016/679 and Spanish Organic Law 3/2018 (LOPDGDD). As a service provider, TeneDigital may act as a Data Processor for the Client. Both parties agree to handle end-user data with absolute confidentiality and security. 8. Force Majeure
Neither party shall be held liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by an event beyond its reasonable control, including but not limited to natural disasters, acts of war, strikes, global pandemics, or catastrophic internet infrastructure failures.
9. Governing Law & Jurisdiction
These Terms & Conditions, and any disputes arising from or relating to the services provided by TeneDigital, shall be governed by the laws of Spain. Both parties expressly submit to the exclusive jurisdiction of the courts of Santa Cruz de Tenerife, Spain, waiving any other jurisdiction that might otherwise apply.
